Online Registration of an LLC

To register an LLC (Limited Liability Company) based on a model charter through the Diia Portal, you need to:

• Go to the Diia Portal and register or log in to your citizen's account.
• Select the service "LLC Registration Based on a Model Charter."
• Fill out the online form to receive the service, provide the necessary information, choose the required options for the model charter or use the default charter, and sign the application with an electronic signature. After this, the system will automatically generate and submit the application for registration, along with the founders’ decision, charter, and ownership structure.

The LLC will be automatically registered if:

• All founders are individuals who are Ukrainian citizens;
• The director and authorized person have no activity restrictions;
• The unique record number from the Unified State Demographic Register of all beneficial owners is provided (it can be found in the ID card or biometric passport);
• The LLC name does not contain words prohibited by law (if it does, you will receive a notification with suggestions).

If the application meets the specified conditions, the LLC will be registered automatically. You will receive a notification about this within 10 minutes. If the application does not meet at least one of the conditions, the registration will be processed by a state registrar online within 1 working day.

If you have chosen a tax system (either general or simplified), the relevant marks will be placed in the state registration application. Information about the selected tax system will be automatically sent to the tax authority at the legal entity's location.

After submitting the application, you can check its status in the citizen's account in the "Services" — "Ordered Services" section. A notification of LLC registration or refusal will appear in the "Attention" section and will be duplicated via email.

Once the LLC is registered, a record will appear in the Unified State Register of Legal Entities, Individual Entrepreneurs, and Public Formations. You can obtain an extract in the citizen's account in the "Received Documents" section. Information about the taxpayer's registration will appear in the Electronic Taxpayer’s Cabinet.
